Taco Referral Program Terms
Terms and ConditionsWelcome to Taco.trade ("Taco.trade", "we", "us" or "our", meaning the operator of the Site and the Interface and its affiliates), the informational resource for the Taco Protocol (the "Protocol"), a decentralised, non-custodial protocol described in the documentation at docs.taco.trade (the "Documentation").
These Referral Program Terms and Conditions and any documents incorporated by reference (collectively, these "Referral Terms") apply to you or the entity you represent ("you", "your", the "Referrer") and explain the terms on which you may use the Taco Referral Program (the "Referral Program"). These Referral Terms supplement the Taco Terms and Conditions (the "Terms"), which apply to all use of the Site and the Interface and are incorporated here by reference. In the event of conflict, these Referral Terms govern the Referral Program and the Terms govern everything else.
Please do not use the Referral Program if you disagree with any of these Referral Terms.
01Use of the Referral Program
The Referral Program allows you to share a referral link ("Link") or referral code ("Referral Code") with other persons. If a person who is not you (a "Referred User") binds your Referral Code to their wallet and subsequently trades on the Protocol, you may receive a portion of the Protocol fees actually collected from that Referred User ("Referral Rebates"), and the Referred User may receive a partial rebate of their own Protocol fees for a limited period ("Trader Rebate"), each at the rates and on the conditions published in the Documentation from time to time.
A Referred User binds a Referral Code by entering it or arriving through a Link before first registering a session key on the Interface. The binding is recorded on the blockchain at that time and cannot be changed afterwards by you, the Referred User or us. Each wallet may bind one Referral Code only.
Referral Rebates and Trader Rebates are calculated by the Protocol's smart contracts from Protocol fees actually collected, accrue as a claimable balance in USDT, and must be claimed by the recipient through the Interface with a wallet signature. They are not paid automatically. No Vault Shares, tokens or other assets are minted or issued under the Referral Program.
All content relating to the Referral Program is for informational purposes only.
02Eligibility
You may participate in the Referral Program only if you are eligible to use the Interface under the Terms. Without limitation, you may not participate if you are a U.S. Person, a resident of or located in a Restricted Territory, a Sanctions List Person, or otherwise a Restricted Person as defined in the Terms. You must not share Links or Referral Codes with, or accept referrals from, any Restricted Person, and you must not promote the Protocol in or to any Restricted Territory.
You must be of legal age and have legal capacity to enter into these Referral Terms. If you act for an entity, you have authority to bind it.
We may require you to confirm your eligibility at any time and may suspend Referral Rebates while any confirmation is outstanding.
03Obligations and prohibited conduct
The Interface provides you with a Link and a Referral Code. It is your sole responsibility to share the correct Link or Referral Code; we are not responsible for referrals that are not recorded because an incorrect, expired or mistyped Link or Referral Code was used, because the Referred User registered a session key before binding, or for any other reason.
You may promote the Protocol in any lawful manner you choose, provided that you comply with these Referral Terms, the Terms and all Applicable Laws. In doing so you must not:
make any statement about the Protocol, the Vault, Vault Shares, loss rebates, fees, returns or risks that is false, misleading, or inconsistent with the Terms or the Documentation, including any statement that trading on the Protocol is profitable, low-risk or risk-free, that losses are refunded, that Vault Shares will increase in value, or that any return or outcome is expected or guaranteed;
describe Vault Shares, loss rebates or the Referral Program as an investment, a security, a token launch, an airdrop, a yield, a dividend, a reward or an opportunity to earn, or use any similar language;
represent yourself as an employee, agent, partner, representative or affiliate of Taco.trade, or use our name, logos or marks except as permitted by the Terms;
promote the Protocol to any person you know or ought to know is a Restricted Person, or in any jurisdiction where such promotion is prohibited or requires a licence, including through paid advertising, influencer campaigns or community channels targeted at such jurisdictions;
offer or pay any inducement to a Referred User to bind your Referral Code, trade, or incur losses, or share any Referral Rebate with a Referred User, except as expressly permitted by the Documentation;
refer yourself, or any wallet you own, control, fund or trade for, or coordinate with others to circulate referrals among related wallets;
engage in, encourage or facilitate wash trading, self-hedged or coordinated trading, or any trading whose purpose is to generate Protocol fees or Referral Rebates rather than to trade;
use spam, unsolicited messages, bots, deceptive websites, cybersquatting, or any form of paid search bidding on our name or marks to distribute Links or Referral Codes;
use any language that is libellous, defamatory, obscene, harassing, hateful, threatening, fraudulent, deceptive or otherwise objectionable; or
engage in any conduct prohibited by the Terms.
You are solely responsible for every statement you make and every channel you use in connection with the Referral Program, and for complying with any advertising, financial-promotion, consumer-protection or disclosure law that applies to you, including any requirement to disclose that you receive compensation for referrals.
If we believe you have breached this Section 3 or the Terms, we may, without notice and in our sole discretion, exclude you from the Referral Program, disable your Link and Referral Code, withhold, cancel or claw back any accrued or unclaimed Referral Rebates, and withhold or cancel Trader Rebates of Referred Users who participated in the breach. We may also take any action available under the Terms.
04Rebates
Referral Rebates and Trader Rebates are calculated only on Protocol fees that are actually collected by the Protocol under the conditions stated in the Documentation. Where fees are not collected, including while the settlement queue is not empty, no rebate accrues. Rebates are never retroactive and are not paid on fees collected before a Referral Code was bound.
Rebate rates, the duration of any Trader Rebate, the fee categories to which rebates apply, and any tiers or conditions are those published in the Documentation from time to time and may be changed at any time in accordance with Section 5. Any change applies to fees collected after the change takes effect and does not affect rebates already accrued.
Taco.trade has no obligation to pay any Referral Rebate or Trader Rebate. Rebates are calculated and made claimable by the Protocol's smart contracts according to their code. We are not responsible for any failure, delay or error in the calculation, accrual, display or claiming of rebates, including as a result of smart-contract behaviour, blockchain congestion, oracle failures, Interface unavailability or any upgrade or parameter change.
Rebates are paid in USDT only, into your trading balance on the Protocol, and are subject to the Terms. Unclaimed rebates may be forfeited after a period stated in the Documentation or on termination of the Referral Program. No interest accrues on unclaimed rebates.
You are solely responsible for any taxes arising from Referral Rebates or Trader Rebates. We do not withhold tax and do not provide tax reporting.
05Modification, suspension and termination
The Referral Program is a discretionary promotion, not a contractual entitlement. We may, at any time, with or without prior notice, and for any reason or no reason: modify the Referral Program in whole or in part, including any rebate rate, duration, tier, condition, fee category or eligibility requirement; suspend it; or terminate it permanently. Any modification takes effect when posted in the Documentation or on the Interface and applies to fees collected after that time.
We may, at any time and in our sole discretion, exclude any person from the Referral Program, disable any Link or Referral Code, or decline to make any rebate claimable, including where we believe these Referral Terms or the Terms have been breached, where required by Applicable Laws, or where continuing the Referral Program for that person would in our judgment expose Taco.trade or any Released Party to legal or regulatory risk.
On termination of the Referral Program, or of your participation in it, Referral Codes cease to be bindable and no further rebates accrue. Rebates already accrued and claimable may be claimed for the period stated in the Documentation or in the termination notice, after which they are forfeited.
Taco.trade will not be liable for any loss, including loss of anticipated rebates, suffered by you or any Referred User resulting from any modification, suspension or termination of the Referral Program, of your participation in it, or of your access to the Interface or the Protocol.
We may revise these Referral Terms from time to time by updating the date at the top and posting the current version at taco.trade/referral-terms. Revisions take effect when posted. By using the Referral Program after a revision takes effect, you agree to be bound by it.
06No offer, no advice, no agency
The Referral Program is a marketing arrangement for the Interface. It is not an offer, solicitation or recommendation to trade, to deposit into the Vault, to acquire Vault Shares or to enter into any transaction, and nothing in it constitutes investment, financial, legal or tax advice.
Referral Rebates are a share of fees generated by Referred Users' own trading activity. They are not a return on any investment, are not tied to the value of Vault Shares or the performance of the Vault, and do not depend on any effort of Taco.trade to increase their value.
You are an independent party. Nothing in these Referral Terms creates an employment, agency, partnership, joint-venture, franchise or fiduciary relationship between you and Taco.trade, any Released Party or any Referred User. You have no authority to bind us and must not hold yourself out as having any.
You acknowledge that Taco.trade is not registered or licensed with any regulatory authority, that no authority has reviewed or approved the Referral Program, and that promoting leveraged trading products may be regulated or prohibited in the jurisdictions where you or your audience are located. You are solely responsible for determining whether your promotional activity is lawful.
07Limitation of liability
Under no circumstances shall Taco.trade or any Released Party (as defined in the Terms) be liable for any direct, indirect, incidental, punitive, special, consequential or similar damages or liabilities whatsoever for any reason related to these Referral Terms, the Referral Program, your use of or inability to use the Site or the Interface, any failure to record a referral or to accrue, display or pay any rebate, any statement made by you or any Referred User, or any modification, suspension or termination of the Referral Program. This limitation applies regardless of whether the alleged liability is based on contract, tort, warranty, negligence, strict liability or any other basis, even if we have been advised of the possibility of such damages or they were reasonably foreseeable.
In no event shall the aggregate liability of Taco.trade and the Released Parties arising out of or in connection with the Referral Program exceed five hundred U.S. dollars (USD 500) or its equivalent.
Rebates are calculated and made claimable by independent smart contracts. We are not responsible for tracking rebates, discounts or any other data, for lost rebates due to technical difficulties, blockchain congestion, Interface unavailability, oracle failures, smart-contract behaviour or any other cause, or for any act or omission of a Referred User.
08Indemnification
You will defend, indemnify and hold harmless Taco.trade, its affiliates and the Released Parties, and their respective members, managers, employees, attorneys, representatives, suppliers and contractors, from any claim, demand, lawsuit, action, proceeding, investigation, liability, damage, loss, cost or expense, including reasonable attorneys' fees, arising out of or relating to: your participation in the Referral Program; any statement, promotion, advertisement or communication made by you or on your behalf; any claim by a Referred User or any other person arising from your promotional activity; your breach of these Referral Terms or the Terms; your violation of any Applicable Law, including any advertising, financial-promotion, consumer-protection or disclosure law; or your infringement of any right of any person. We may seek written assurances from you, including the posting of security, in respect of this indemnity, and may treat your failure to provide them as a breach. This Section survives termination.
09Dispute resolution and governing law
Any dispute arising out of or relating to these Referral Terms or the Referral Program is a Dispute under the Terms and is subject to the notice, arbitration, class-action waiver, time-limit and governing-law provisions of Sections 11 and 12 of the Terms, which apply to these Referral Terms as if set out in full.
10General
These Referral Terms, together with the Terms and the Documentation, constitute the entire agreement between you and Taco.trade concerning the Referral Program and supersede all prior or contemporaneous agreements, representations and understandings. Any failure by us to exercise or enforce any right or provision shall not constitute a waiver of it.
You must be legally able to enter into these Referral Terms. By using the Referral Program you represent and warrant that you meet the eligibility requirements in Section 2 and in the Terms.
If any provision of these Referral Terms is unenforceable or invalid under any Applicable Law, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. We may amend or replace the provision with one that is valid and enforceable and achieves, to the extent possible, our original intent.
You may not assign or transfer any right to use the Referral Program, or any of your rights or obligations under these Referral Terms, without our express prior written consent, including by operation of law or in connection with any change of control. Taco.trade may assign or transfer any or all of its rights or obligations without notice or your consent.
Taco.trade will have no responsibility or liability for any failure or delay in performance, or any loss or damage you may incur, due to any circumstance or event beyond our control, including any act of God, war, riot, labour dispute, pandemic, any law, order or action of any government, blockchain forks or reorganisations, oracle failures, attacks on the network, communications or power failure, or equipment or software malfunction.
Sections 3.3, 3.4, 4.5, 5.4, 6, 7, 8, 9 and 10 survive termination of the Referral Program or of your participation in it.
