Terms of Use

Welcome to Taco.trade ("Taco.trade", "we", "us" or "our"), the informational resource for the Taco Protocol, as defined below. References to Taco.trade include the operator of the Site and the Interface and its affiliates. Taco.trade (the "Site") provides information about the decentralised, non-custodial Taco Protocol (the "Protocol"), and app.taco.trade (the "Interface") provides one way to interact with it. The Protocol is a set of open-source smart contracts deployed on BNB Chain and described in the documentation at docs.taco.trade (the "Documentation"), which is incorporated into these Terms by reference.

These Terms and Conditions and any documents incorporated by reference (collectively, these "Terms") explain the terms on which you or the entity you represent ("you" or "your") may access the Site and the Interface. Please do not use the Site or the Interface if you disagree with any of these Terms.

14 sections

01Use of the Site and the Interface

Taco.trade is not a party to any transaction on the blockchain networks underlying the Protocol. We do not have possession, custody or control over any crypto assets appearing on the Interface or over any user's funds, and we do not store, send or receive crypto assets. When you interact with the Protocol you always retain control of your assets. We do not have access to your private keys or session keys.

1.1.

As a condition to accessing or using the Site or the Interface, you represent and warrant to Taco.trade that:

1.1.1.

If you are an individual, you are of legal age in the jurisdiction in which you reside and have the legal capacity to enter into and be bound by these Terms;

1.1.2.

If you are an entity, you have the legal authority to accept these Terms on that entity's behalf, in which case "you" means that entity;

1.1.3.

You are not a U.S. Person, meaning any natural person resident in the United States, any entity organised under the laws of the United States or any of its states or territories, or any person located in the United States at the time of access, or any other person within the definition of "U.S. person" under Regulation S of the U.S. Securities Act of 1933 or the U.S. Commodity Exchange Act and the regulations of the U.S. Commodity Futures Trading Commission;

1.1.4.

You are not a resident, national or agent of, and are not located in, (a) any country or territory to which the United States, the United Kingdom, the European Union or the United Nations embargoes goods or imposes comprehensive sanctions, including Cuba, Iran, North Korea, Syria and the Crimea, Donetsk and Luhansk regions of Ukraine; or (b) the People's Republic of China (excluding Hong Kong, Macau and Taiwan) or the Republic of Singapore (together, the "Restricted Territories");

1.1.5.

You are not subject to economic or trade sanctions administered or enforced by any governmental authority, and you are not listed on, or owned or controlled by a person listed on, any sanctions list maintained by the United States, the United Kingdom, the European Union or the United Nations, including the U.S. OFAC Specially Designated Nationals and Blocked Persons List (collectively, "Sanctions List Persons");

1.1.6.

You do not intend to transact with, and are not acting on behalf of, any person in a Restricted Territory or any Sanctions List Person;

1.1.7.

You are not a resident of, and are not accessing the Interface from, any other jurisdiction in which the use of the Interface or the Protocol, or trading in leveraged derivatives, is prohibited or would require a licence or registration that Taco.trade does not hold (together with 1.1.3 to 1.1.6, "Restricted Persons");

1.1.8.

You do not, and will not, use VPN software or any other privacy or anonymisation tool or technique, or any other means, to conceal your location or to circumvent, or attempt to circumvent, any restriction that applies to you; and

1.1.9.

Your access is not prohibited by, and does not violate or assist you in violating, any domestic or foreign law, rule, statute, regulation, by-law, order, decree, directive, guidance or requirement of any governmental, regulatory, judicial or administrative authority having jurisdiction over Taco.trade or you (collectively, "Applicable Laws"), and does not contribute to or facilitate any illegal activity.

You repeat the representations in this Section 1.1 each time you access the Interface, connect a wallet, register a session key or submit a transaction through the Interface.

1.2.

As a condition to accessing or using the Site or the Interface, you acknowledge, understand and agree that:

1.2.1.

The Site and the Interface may be inaccessible or inoperable from time to time for any reason, including equipment malfunction; maintenance or repairs; causes beyond our control; disruption or unavailability of the BNB Chain network, oracle networks, bridges or other blockchain infrastructure; or unavailability of third-party service providers;

1.2.2.

We may disable, restrict or modify access to the Site or the Interface at any time, with or without notice, including if we reasonably believe any of your representations and warranties may be untrue, that you are a Restricted Person, or that you have attempted to circumvent any restriction, and we will not be liable to you for any loss or damage you suffer as a result of the Site or the Interface being inaccessible to you at any time or for any reason;

1.2.3.

We may use IP geolocation, anonymous-IP and VPN detection, wallet screening and other technical measures to enforce these Terms, and the presence or absence of such measures does not relieve you of your obligations;

1.2.4.

The Interface may evolve, and we or third parties may change, replace or discontinue (temporarily or permanently) any feature or access point at any time;

1.2.5.

Pricing and other information on the Site or the Interface, including net asset values, rebate rates, liquidation prices and historical statistics, is derived from on-chain data and oracle prices, is provided for information only, and does not represent an offer, a solicitation of an offer, advice, a recommendation, or a prediction or representation of future results;

1.2.6.

Taco.trade does not act as a broker, dealer, agent, adviser, counterparty or fiduciary for you;

1.2.7.

You are solely responsible for your use of the Site and the Interface, including all transfers of digital assets, all positions you open, all deposits into and redemptions from the Vault, and the security of your wallet, private keys and session keys. A session key you create can open and close positions without further confirmation until it expires or you revoke it;

1.2.8.

To the fullest extent not prohibited by Applicable Law, we owe no fiduciary duties or liabilities to you or any other party, and to the extent any such duties or liabilities may exist at law or in equity, you irrevocably disclaim, waive and eliminate them;

1.2.9.

You are solely responsible for reporting and paying any taxes applicable to your use of the Interface and the Protocol;

1.2.10.

We have no control over, or liability for, the delivery, quality, safety, legality or any other aspect of any digital assets that you transfer to or from any third party or any bridge, and if you experience a problem with any such transaction you bear the entire risk; and

1.2.11.

Taco.trade collects only the limited data described in the Privacy Policy, including wallet addresses, IP addresses and approximate location for the purpose of enforcing these Terms, and session-key and referral metadata. Third-party service providers may collect limited user data under their own terms and applicable data-protection laws, which is used to improve user experience, resolve technical issues and monitor for suspicious activity.

1.3.

The Protocol. You further acknowledge, understand and agree that:

1.3.1.

Every position opened through the Protocol is taken by the Taco Vault (the "Vault"), a smart contract. The Vault is your counterparty. Taco.trade is not. Taco.trade does not seed, manage, hedge or guarantee the Vault;

1.3.2.

The Vault issues a share token ("Vault Shares") representing a pro-rata interest in the Vault's net assets as calculated by the smart contracts. Vault Shares are redeemable at net asset value only through the asynchronous redemption process described in the Documentation, which includes a waiting period and is subject to the settlement queue. The Vault makes no distributions, and there is no staking, locking or reward mechanism. Vault Shares have no supply cap and no allocation to Taco.trade, its affiliates, investors or advisers;

1.3.3.

When a position closes at a loss or is liquidated, part of the amount credited to the Vault is returned to the trader as Vault Shares at the rate determined by the smart contracts. A loss rebate is a partial return of a realised loss. It is not a reward, does not make a losing position profitable, and trading in order to receive rebates is a losing strategy;

1.3.4.

If the Vault's available cash is insufficient to pay a position that closes at a profit, the unpaid profit is queued and paid only as the Vault receives funds. Neither Taco.trade nor any other person guarantees that queued amounts, or redemptions of Vault Shares, will be paid within any period or at all;

1.3.5.

Markets, leverage limits, fees and their distribution, rebate rates, waiting periods, liquidation rules and all other parameters are those published in the Documentation from time to time and may change as described in Section 5. Positions execute at oracle prices obtained from third-party networks and signed by a price keeper, which may differ from prices on any exchange and may be unavailable;

1.3.6.

The Protocol is administered by a multisignature wallet acting through a time-lock, and by limited keeper roles described in the Documentation, including a pause guardian that may pause the opening of new positions on one or all markets or permanently delist a market (freezing its price so that open positions can only be closed or liquidated at the frozen price). You acknowledge that any such action may adversely affect your positions or Vault Shares, that it may be taken at any time without notice in response to an actual or suspected security, oracle, market-integrity or legal issue, and that no person will be liable to you for it;

1.3.7.

No governance or keeper role can reverse a trade, freeze or blacklist an individual wallet, or move user balances, and you will not request or expect any such intervention; and

1.3.8.

You are not acquiring Vault Shares, and are not using the Protocol, in reliance on any statement by Taco.trade or any contributor about the future value of Vault Shares or the future performance of the Vault, and you understand that the value of a Vault Share is determined solely by the operation of the smart contracts.

02Fees

You are required to pay all fees for transactions on the blockchain networks you use, including gas costs, bridge fees, and all Protocol fees reflected on the Interface and in the Documentation, including fees on realised profit and fees carved out of amounts credited to the Vault. A portion of Protocol fees is paid to an address controlled by Taco.trade or its affiliate, as published in the Documentation. Taco.trade may also charge fees for use of the relayer or other Interface services, which will be disclosed on the Interface before you incur them. Fee rates and distribution may change as described in Section 5.

03No professional advice or fiduciary duties

Nothing herein constitutes legal, financial, business, investment, trading or tax advice, and you are strongly advised to consult your own advisers before engaging in any activity in connection herewith. All information provided by the Site, the Interface or the Documentation is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information we make available, including blog posts, articles, links to third-party content, Discord or Telegram content, news feeds, tutorials, posts and videos. These Terms are not intended to, and do not, create or impose any fiduciary duties on us.

04Proprietary rights

4.1.

Taco.trade owns all rights, names, logos and other marks used on the Site and the Interface, including copyrights in any content, code, data or other materials you may access through them, except that the Protocol smart contracts are published under the open-source licence stated in their repositories. Except as expressly set out herein, your use of or access to the Site or the Interface does not grant you any ownership or other rights therein. You may not use our names, logos or marks without our prior written consent, except to accurately refer to the Site, the Interface or the Protocol.

4.2.

Taco.trade may use and share any comments, bug reports, ideas or other feedback you provide, including suggestions about how we might improve. You agree that Taco.trade is free to use or not use any feedback as we see fit, including copying and sharing it with third parties, without any obligation or compensation to you.

05Modification, suspension and termination

5.1.

Taco.trade reserves the right, at its sole discretion, from time to time and with or without prior notice, to modify, suspend or disable (temporarily or permanently) the Site or the Interface, in whole or in part, for any reason. Upon termination of your access, your right to use the Site or the Interface will immediately cease. Because we do not host or own the Protocol, your positions, Vault Shares and funds remain accessible through the smart contracts directly or through third-party software. Taco.trade will not be liable for any loss you suffer resulting from any modification of the Site or the Interface or from any suspension or termination of your access.

5.2.

Protocol parameters may be changed by the Protocol's governance within ranges fixed in the smart contracts, taking effect only after the time-lock period stated in the Documentation. Changes are published in the Documentation before they take effect. You acknowledge that parameter changes may affect your positions, fees, rebates and Vault Shares, and that no person will be liable to you for any such change.

5.3.

Taco.trade may revise these Terms from time to time. We will notify you by updating the date at the top of these Terms and maintaining the current version at taco.trade/terms. All modifications are effective when posted. By continuing to access or use the Site or the Interface after revisions become effective, you agree to be bound by the revised Terms.

06Risks

6.1.

The use of technology related to blockchains, smart contracts and crypto assets entails risks that you assume by transacting. Taco.trade does not own or control the underlying software through which blockchain networks are formed, which is open-source and may be used, copied, modified and distributed by anyone. By using the Interface you acknowledge and agree:

6.1.1.

That Taco.trade is not responsible for the operation of the open-source software and networks underlying the Interface and the Protocol;

6.1.2.

That there is no guarantee of the functionality, security or availability of that software or those networks; and

6.1.3.

That the underlying networks are subject to sudden changes in operating rules, such as forks, which may materially affect the Interface and the Protocol. You are responsible for securing your private keys and session keys. We have no access to them; losing control of them will permanently and irreversibly deny you access to your assets, and neither Taco.trade nor any other person will be able to retrieve or protect them.

6.2.

You acknowledge the following risks specific to the Protocol, which are described more fully in the Documentation:

6.2.1.

Leverage magnifies losses. At high leverage a very small adverse price movement will liquidate a position, and on liquidation the entire margin is forfeited;

6.2.2.

Profit on a winning close is reduced by the price buffer, the asymmetric retention coefficient and the profit fee; the amount received will be less than the raw price movement multiplied by notional;

6.2.3.

Payment of profit may be queued and is not guaranteed;

6.2.4.

The Vault's net asset value can fall and can reach zero, in which case Vault Shares are worthless; net asset value includes the unrealised profit and loss of open positions; redemption is subject to a waiting period, settles at the net asset value at the time of the claim, cannot be cancelled once requested, and is suspended while the settlement queue is not empty; deposits made while the Vault is in deficit are priced at the floor net asset value and may be worth substantially less than the amount deposited for an indefinite period; there is no deposit insurance, capital guarantee or promised return;

6.2.5.

Vault Shares are transferable, and secondary markets for them may exist; Taco.trade does not operate, support or endorse any secondary market, and a secondary-market price is not net asset value;

6.2.6.

Oracle prices may be delayed, inaccurate or unavailable; markets may be paused or permanently delisted; and

6.2.7.

The Protocol, the Interface, the oracles, bridges and the BNB Chain network are experimental software that may contain bugs or vulnerabilities, may be exploited and may fail. Audits reduce but do not eliminate this risk. Funds lost through a smart-contract failure may be unrecoverable.

6.3.

Taco.trade is not responsible for the content of any third party, including information, materials, products or services that Taco.trade does not own or control, or for any third-party interface to the Protocol. Third parties may offer promotions related to your use of the Interface; Taco.trade does not endorse or assume responsibility for them, and you participate at your own risk.

6.4.

You understand that BNB Chain remains under development, which creates technological and security risks, and that the cost of transacting on BNB Chain is variable and may increase at any time.

6.5.

Transactions entered into in connection with the Interface are irreversible and final, and there are no refunds. You access and use the Interface and the Protocol at your own risk.

6.6.

We must comply with Applicable Laws, which may require us, upon request by governmental or judicial authorities, to take actions or provide information that may not be in your best interests, including restricting your access to the Interface.

6.7.

You assume all risks described in this Section 6 and in the Documentation. You hereby irrevocably waive, release and discharge all claims, whether known or unknown to you, against Taco.trade, its affiliates, any foundation or other entity associated with the Protocol, the signers of any governance multisignature wallet, the operators of any keeper, and their respective shareholders, members, directors, officers, employees, contributors, developers, advisers, agents, representatives, suppliers and contractors (collectively, the "Released Parties") arising out of or relating to any of those risks, the operation of the smart contracts in accordance with their code, any action of governance or any keeper role, or your use of the Interface or the Protocol.

6.8.

No duty to intervene. Neither Taco.trade nor any Released Party has any duty to you or any other person to monitor the Protocol, the Interface, the oracles or any market; to pause, resume or delist any market; to adjust any parameter; to correct, update, replace or reject any oracle price; to operate, stop or restart any keeper or relayer; to compensate any loss; or to pursue or recover any assets. Any such action, if taken, is taken at the sole discretion of the relevant person and may be taken or withheld for any reason or no reason. Neither the taking of any such action, nor the failure or delay to take it, gives rise to any liability. Any compensation, reimbursement or recovery that may be made in any instance is voluntary, creates no obligation, precedent or expectation, and may be made on any terms or not at all.

6.9.

Oracle and pricing failures. You acknowledge and accept that oracle prices may at any time be stale, delayed, erroneous, unavailable, or affected by manipulation of the underlying venues or feeds, and that positions may be opened, closed or liquidated, and the Vault may pay or receive amounts, on the basis of such prices. All such transactions are final. If you hold Vault Shares, you accept that the Vault bears the full amount of any loss arising from such prices, that such losses are reflected in net asset value, and that you have no claim against any person in respect of them. No person is obliged to detect or respond to any such condition.

6.10.

No obligation as to security, reliability, upgrades or remediation. You acknowledge that the Protocol, the Interface, the relayer, the keepers, the oracles and all related infrastructure may contain errors or vulnerabilities, may be upgraded, migrated, re-parameterised, paused or discontinued, may be attacked or exploited, and may fail or behave unexpectedly at any time, and that any such event may cause you loss, including total loss. Neither Taco.trade nor any Released Party undertakes, warrants or has any obligation to ensure or maintain the security, reliability, availability, accuracy or performance of any of them; to prevent, detect, investigate, disclose, respond to or remedy any error, vulnerability, attack, exploit, outage or loss; to deliver any fix, patch, upgrade, migration or parameter change, or to do so within any period or at all; or to operate, maintain, staff or fund any of the foregoing. Any upgrade, migration, parameter change, pause, resumption, delisting, keeper action or relayer action, and any failure, delay or error in any of them, is undertaken or omitted at the sole discretion of the relevant person, may itself cause you loss, and gives rise to no liability. No statement about audits, monitoring, bug bounties, insurance funds, security practices or incident response creates any duty or warranty.

07Prohibited uses

7.1.

You agree not to engage in the prohibited uses set out below. The activities listed are representative, not exhaustive. By using the Site or the Interface you confirm that you will not:

7.1.1.

Promote or facilitate illegal activities, including money laundering, terrorist financing, sanctions evasion, tax evasion, or dealing in illegal drugs, contraband, counterfeit goods or illegal weapons;

7.1.2.

Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity, privacy or other proprietary right of Taco.trade or any third party;

7.1.3.

Engage in improper or abusive trading practices, including (a) any fraudulent act or scheme to defraud, deceive, trick or mislead; (b) front-running or trading ahead of another user; (c) fictitious, pre-arranged, accommodation or non-competitive transactions; (d) cornering; or (e) any other manipulative practice;

7.1.4.

Manipulate or attempt to manipulate any price used by the Protocol, including by trading on any venue in order to influence an oracle price, or exploiting any delay, discrepancy or unavailability of oracle prices;

7.1.5.

Exploit, or attempt to exploit, any bug, vulnerability, error or unintended behaviour in the Protocol, the Interface, the relayer, the keepers, the oracles or any related infrastructure. Any assets obtained through such conduct are held on trust for the Vault and the affected users, must be returned on demand, and may be recovered by Taco.trade or any affected party through any lawful on-chain or off-chain means;

7.1.6.

Engage in wash trading, self-hedged, coordinated or circular trading, or any other activity whose purpose is to extract loss rebates, referral rebates, promotional benefits or other Protocol payments rather than to trade;

7.1.7.

Use multiple wallets, identities or related accounts to obtain any referral, promotional or whitelist benefit more than once, to refer yourself, or to misrepresent your identity, location or eligibility;

7.1.8.

Upload or transmit viruses, worms, Trojan horses, time bombs, cancelbots, spiders, malware or any other malicious code, or interfere with the operation of the Site, the Interface, the relayer or the keepers, including by denial-of-service attacks or scraping at a rate that degrades service;

7.1.9.

Use the Site or the Interface in any way that is, in our sole discretion, libellous, defamatory, obscene, harassing, threatening, hateful, fraudulent, deceptive or otherwise objectionable;

7.1.10.

Harass, abuse or harm another person or entity, including Taco.trade' contributors, collaborators and service providers;

7.1.11.

Impersonate another user, Taco.trade or any contributor, or misrepresent yourself as an agent or representative of Taco.trade; or

7.1.12.

Engage, attempt to engage, or encourage, induce or assist any third party to engage in any activity prohibited under this Section 7 or any other provision of these Terms.

7.2.

If we believe you have engaged in any prohibited use, we may restrict or terminate your access to the Interface, withhold, cancel or claw back any referral, promotional or whitelist benefit, and report the conduct to relevant authorities. We cannot and do not restrict your access to the Protocol itself.

08Disclosures; disclaimers

8.1.

Taco.trade develops and operates the Site and the Interface. The Interface is one access point to the Protocol. The Protocol consists of autonomous, open-source smart contracts that execute transactions according to their code. Taco.trade does not operate an exchange, does not execute, match or clear transactions, and has no involvement in or control over your transactions other than, where you choose to use it, relaying your signed transactions to the network. All positions are entered into between your blockchain address and the Vault smart contract.

8.2.

You are responsible for complying with all Applicable Laws that govern your positions. As a result of restrictions under the U.S. Commodity Exchange Act and the regulations of the CFTC, no U.S. Person may enter into positions using the Interface, deposit into the Vault, or hold Vault Shares obtained through the Interface.

8.3.

You understand that Taco.trade is not registered or licensed by any regulatory agency or authority in any jurisdiction, and that no such agency or authority has reviewed or approved the Site, the Interface, the Protocol or Vault Shares.

8.4.

Vault Shares are not offered or sold by Taco.trade. They are minted by the Vault smart contract to any eligible address that deposits assets or receives a loss rebate, according to its code. Taco.trade makes no representation that Vault Shares are or are not a security, financial instrument, deposit, collective investment scheme or other regulated product in any jurisdiction, and makes no representation about their value, liquidity, tax treatment or regulatory treatment. You are responsible for determining the treatment of Vault Shares under the laws that apply to you.

8.5.

The Protocol's governance, any foundation or other entity associated with it, the signers of any governance multisignature wallet, the operators of any keeper, and individual contributors and developers are not parties to these Terms and have no obligations to you under them. Nothing in these Terms, the Documentation or any communication creates any contract, duty or liability between you and any of those persons.

8.6.

Taco.trade has no obligation to monitor the Protocol, the Interface or any user's activity, and does not undertake to detect, prevent or remedy any manipulation, exploit, error or loss.

8.7.

You agree that the Site, the Interface and the Protocol are provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability and security. Taco.trade makes no guarantee of any kind in connection with the Site, the Interface or the Protocol, including that any transaction will execute, execute at any price or within any time, that the Vault will be solvent, or that any queued amount or redemption will be paid. Audits, where conducted, are not a warranty that the Protocol is free of vulnerabilities.

8.8.

No partnership. Nothing in these Terms, the Documentation, the holding of Vault Shares, any deposit into the Vault, any participation in governance, or any use of the Protocol creates a partnership, joint venture, association, agency, trust, employment or fiduciary relationship between you and Taco.trade, any Released Party, or any other user or holder of Vault Shares. You hold Vault Shares solely for your own account and have no authority to bind, and no liability for, any other person.

8.9.

No reliance on informal communications. Statements made by any person on Discord, Telegram, X or any other social or community channel, including by contributors or moderators, are not representations, warranties or commitments of Taco.trade or any Released Party, are not incorporated into these Terms, and may not be relied upon. Only these Terms and the Documentation describe the Protocol.

09Limitation of liability

9.1.

In no event shall Taco.trade, its affiliates, suppliers and contractors, or any of the Released Parties, or their respective stockholders, members, directors, officers, managers, employees, attorneys, agents, representatives, suppliers and contractors, be liable for any direct, indirect, incidental, special, punitive, consequential or similar damages or liabilities whatsoever (including damages for loss of fiat, assets, data, information, revenue, opportunities, use, goodwill, profits or other business or financial benefit) arising out of or in connection with the Site, the Interface, the Protocol, Vault Shares, or any other item provided by or on behalf of Taco.trade, whether under contract, tort (including negligence), civil liability, statute, strict liability, breach of warranty or any other theory of liability, and whether or not we were advised of, knew of or should have known of the possibility of such damages, and notwithstanding any failure of the essential purpose of these Terms or any limited remedy hereunder. Taco.trade is in no way responsible for the execution or settlement of transactions between users and the Protocol.

9.2.

Without limiting Section 9.1, no Released Party is liable for any loss arising from: the operation of the smart contracts in accordance with their code; any bug, vulnerability, error or unintended behaviour in the Protocol, the Interface or any related infrastructure; any hack, attack or exploit by any person; any upgrade, migration, parameter change, pause, resumption or delisting, or any failure, delay or omission to make one; oracle prices, their staleness, inaccuracy, manipulation or unavailability; liquidations; the settlement queue; the Vault's net asset value; any action or inaction of governance, the pause guardian or any keeper; any error, delay, failure or unavailability of the relayer, any keeper, any bridge or the BNB Chain network; the loss or compromise of your wallet, private keys or session keys; or any third-party service.

9.3.

In no event shall the aggregate liability of Taco.trade and the Released Parties arising out of or in connection with the Site, the Interface or the Protocol exceed one thousand U.S. dollars (USD 1,000) or its equivalent.

9.4.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions the liability of Taco.trade and the Released Parties is limited to the fullest extent permitted by Applicable Law.

10Indemnification

You will defend, indemnify and hold harmless Taco.trade, its affiliates and the Released Parties, and their respective members, managers, employees, attorneys, representatives, suppliers and contractors (the "Indemnified Parties"), from any claim, demand, lawsuit, action, proceeding, investigation, liability, damage, loss, cost or expense, including reasonable attorneys' fees, arising out of or relating to (a) your use of or conduct in connection with the Site, the Interface or the Protocol; (b) your violation of these Terms; (c) your misuse of the Site, the Interface, or any smart contract or script related thereto, including any exploit or manipulation; (d) your violation of any Applicable Law; (e) your violation of the rights of any third party, including any intellectual-property, publicity, confidentiality, property or privacy right; (f) your use of a third-party product, service or website; (g) any misrepresentation made by you, including under Section 1.1; or (h) any statement you make to any person in connection with the referral programme. We reserve the right to assume, at your expense, the exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate with our defence of any claim and not to settle any claim without our prior written consent.

11Dispute resolution and arbitration

11.1.

Taco.trade will use reasonable efforts to resolve potential disputes through informal, good-faith negotiation. If a potential dispute arises, you must first send a written notice of your claim ("Notice") to notices@taco.trade describing the nature and basis of the claim and the specific relief sought. Our notice to you will be similar in form. If you and Taco.trade cannot resolve the claim within sixty (60) days of the Notice, you and Taco.trade agree to resolve the dispute as set out below.

11.2.

Any claim or controversy arising out of or relating to the Site, the Interface, the Protocol, Vault Shares or these Terms, or any other acts or omissions for which you may contend that we or any Released Party are liable, including any claim as to arbitrability (a "Dispute"), shall be finally and exclusively settled by confidential binding arbitration administered by the BVI International Arbitration Centre under its rules in force at the time, before a single arbitrator selected under those rules. The arbitration will be seated in Road Town, Tortola, British Virgin Islands and conducted in English, unless you and we agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek interim or injunctive relief from a court of competent jurisdiction to protect its rights pending arbitration.

11.3.

Class action waiver. You and Taco.trade agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. Unless we agree otherwise, the arbitrator may not consolidate your claims with those of any other person and may not preside over any form of representative or class proceeding.

11.4.

Any claim arising out of or related to these Terms, the Site, the Interface or the Protocol must be filed within one (1) year after the claim arose; otherwise it is permanently barred.

12Governing law

The interpretation and enforcement of these Terms, and any Dispute, will be governed by and construed under the laws of the British Virgin Islands, without regard to conflict-of-laws principles.

13General information

13.1.

Any right or remedy of Taco.trade set out in these Terms is in addition to, and not in lieu of, any other right or remedy under these Terms, Applicable Law, at law or in equity. The failure or delay of Taco.trade in exercising any right, power or privilege under these Terms shall not operate as a waiver thereof.

13.2.

Sections 1.2, 1.3, 3, 4, 6 through 13 and any other provision which by its nature should survive will survive any termination of your access to the Site or the Interface.

13.3.

The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision, all of which shall remain in full force and effect.

13.4.

Taco.trade will have no responsibility or liability for any failure or delay in performance of the Site or the Interface, or any loss or damage you may incur, due to any circumstance or event beyond our control, including flood, extraordinary weather, earthquake or other act of God, fire, war, insurrection, riot, labour dispute, accident, pandemic, any law, order, regulation, direction, action or request of any government, blockchain forks or reorganisations, oracle failures, attacks on the network, communications or power failure, or equipment or software malfunction.

13.5.

You may not assign or transfer any right to use the Site or the Interface, or any of your rights or obligations under these Terms, without our express prior written consent, including by operation of law or in connection with any change of control. Taco.trade may assign or transfer any or all of its rights or obligations under these Terms, in whole or in part, without notice or your consent.

13.6.

These Terms, together with the Documentation and the Privacy Policy, contain the entire agreement between you and Taco.trade and supersede all prior and contemporaneous understandings regarding the Site, the Interface and the Protocol.

13.7.

In the event of any conflict between these Terms and any other agreement you may have with us, these Terms will control unless the other agreement specifically identifies these Terms and declares that it supersedes them.

13.8.

Except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms other than the Released Parties and the Indemnified Parties, each of which may enforce the provisions of Sections 6.7, 8.5, 9 and 10 directly.

13.9.

Referral programme and promotions. Any referral rebate, first-month rebate, whitelist benefit, community role or other promotional benefit is offered at Taco.trade' sole discretion, on the conditions published on the Interface or in the Documentation, only to persons who are not Restricted Persons, and may be modified, suspended, withdrawn, withheld or clawed back at any time, including where we believe it was obtained in breach of these Terms. Referral rebates are paid only on fees actually collected by the Protocol and must be claimed; they are not paid automatically. No promotional benefit confers any allocation of any token, any Vault Shares, any guaranteed benefit, or any right to participate in any future offering, and none is a representation about the future value of anything. You are responsible for any statement you make when referring others and must not make any statement inconsistent with these Terms or the Documentation.

13.10.
